Plain-English terms covering your StrategyXL purchase and license.

StrategyXL is a paid Excel add-in. When you buy a license, you're buying a non-transferable right to use the add-in on up to two of your personal devices, with all v1.x updates included, supported by a single-person team. These terms describe what you're agreeing to. Read them in full — they're not long.
StrategyXL is a product of Second Chapter Ventures, LLC ("we", "us"), a North Carolina limited liability company doing business as StrategyXL. Payment is processed by Lemon Squeezy, who acts as the Merchant of Record.
When you complete a purchase, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and use StrategyXL on up to two devices you personally own or control. The license:

Honest research, personal trading decisions, sharing screenshots of your results, and writing about your strategies are all fine. We wrote this for traders, not for lawyers.
We don't run an account system on our website. Your "account" is your license key plus the email address you used at purchase. Keep your license key safe — it's the credential. If you lose it, email support@strategyxl.com from the address tied to the purchase and we'll resend it.

StrategyXL depends on services run by other companies. Your use of the add-in is also subject to:
We are not responsible for outages, pricing changes, or data accuracy issues at these providers, though we will help you debug anything that looks like a StrategyXL issue.
We offer a 14-day refund window from the date of purchase, no questions asked. Email support@strategyxl.com from the address tied to your purchase and we'll process the refund through Lemon Squeezy. When the refund completes, your license is automatically deactivated.
StrategyXL is a research tool. Nothing it produces — backtest results, signal output, equity curves, price charts, or any other derived metric — is investment, financial, tax, or legal advice. You are responsible for your own trading decisions and outcomes. Past performance, including backtested performance, does not predict future results.
StrategyXL is provided "as is" and "as available", without warranty of any kind, express or implied. We do not warrant that the add-in will be uninterrupted, error-free, secure against every threat, or fit for any particular purpose. To the maximum extent permitted by applicable law, we disclaim all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, our total liability arising out of or related to these terms or your use of StrategyXL is limited to the amount you paid for your license. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, trading losses, loss of data, or business interruption — even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the limits above may not apply to you in full.
You may stop using StrategyXL at any time. We may terminate or suspend your license if you materially breach these terms — for example, by sharing your key or attempting to bypass activation. If we do, we'll email you first wherever possible and give you a chance to fix the issue.
Sections that by their nature should survive termination (warranty disclaimer, limitation of liability, governing law) will survive.
These terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. Any dispute that can't be resolved by good-faith email exchange will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to personal jurisdiction there.
If we update these terms in any material way, we'll update the
effective date at the top of this page and email existing
license holders from support@strategyxl.com. Continued
use of the add-in after the change takes effect counts as
acceptance of the revised terms.
